22/09/23 Post Conference Update

Following the Motion to enable the NEC to transfer NARPO to become a company limited by guarantee in accordance with the Articles and Rules being approved by delegates at the 2023 Conference, the solicitors and accountants, advising on the incorporation, are moving forward with their work and NARPO will become a Company Limited by Guarantee in the early part of 2024.

Destination Table

The draft Articles of Association and Rules have been written by Paul Matthews, the lawyer advising the NEC.

The NEC has had the opportunity to meet with Paul virtually at their recent meeting and provide their feedback on a previous iteration of these documents. Their feedback has been included in these latest documents.

These are circulated to consult with Branches and to provide their feedback, as well as consulting with their Members, in advance of the National Conference on 8th September when Incorporation will be debated

Paul has also provided a Destination Table, which assists in cross referencing the current Rules with the draft Articles and the draft Rules.

In addition, the NEC has agreed to hold five Incorporation seminars in August to which Branch Chairs, Secretaries and Conference delegates will be invited to attend. Details of these seminars will be sent in a separate email. This will be a further opportunity to engage and consult with Branches.

31/07/23 Incorporation Seminars

Following the Workshops in February this year, the article in May’s NARPO News and the appointment of a lawyer to advise the NEC on Incorporation, a set of draft Articles and Rules has been sent to Branches .

At its July meeting, the NEC has agreed to hold a series of five one day national seminars on Incorporation for NEC, Branch Chairs, Secretaries and Conference delegates to attend. The seminars will run between 10 am and 2pm

These will be led by Paul Matthews from WHN Solicitors and Ian Parsons, Managing Partner and Head of Corporate Finance of Parsons Chartered Accountants. Also present will be Richard Critchley and Kate Rowley, as well as Regional Members of the NEC.

These seminars will be an opportunity to consult with the Branches and to hear their feedback, as well as Members’ feedback on the draft Articles and Rules before Conference on 8th September.

The national workshops on Incorporation have concluded, thank you to all who attended.

The Synopsis document will be available in the upcoming weeks, provided by Bernard Seymour from Affinity Resolutions. Further information will be available in the May issue of NARPO News. If you have any questions in the meantime, please contact ceo@narpo.org

During the 2023 NARPO Conference, a motion for incorporation will be presented. If agreed, Branches will have the opportunity to review draft Articles at a range of Workshops. The final draft will then be brought to the 2024 NARPO Conference.
